ஒப்பந்தம்(Contract) என்பது 'வாக்குறுதிகளைக் கொண்டு திறத்தவருக்கிடையே உருவாக்கப்படும் உடன்படிக்கைகள்' ஆகும்.(an "agreement" made of a set of promises).இவ் வாக்குறுதிகள் ஒப்பந்ததில் ஈடுபடும் திறத்தவர்களுக்கிடையேயான கடமைகள் கட்டுப்பாடுகள் பற்றியதாக இருக்கும்.ஒப்பந்தமானது சட்ட ஆளுமையுடையதால் ஒப்பந்த முறிவு ஏற்படும் சந்தர்பங்களில் நீதிமன்றங்களை நாடி குறைதீர்ப்பினை (remedies) பெறமுடியும்.
